Welcome to the Reagents.com Website (the "Site"). Reagents provides the Site as a service to our customers. Please review the following terms and conditions of use, which govern your use of the Site (the "Agreement").
Your use of the Site constitutes your agreement to follow and be bound by the Agreement. We reserve the right to update or modify this Agreement at any time without prior notice. When we do, the "Last Updated" date will be modified at the top of the Terms of Use page. All materials on this website are considered property of Reagents and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not modify the materials at this Site in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose. For purposes of these Terms, any use of these materials on any other Web site or networked computer environment for any purpose is prohibited. Registration

Access to online purchasing capabilities (the "Service") is available only to businesses and their authorized employees, agents and/or contractors who register with Reagents by creating a Profile and is limited to those users who are authorized to form legally binding contracts under applicable law on behalf of the businesses or organizations they represent. Reagents may, at any time, restrict your access to this website.

Registered Accounts

You represent that all information provided to Reagents through the Profile Form or otherwise is accurate and that you are the individual identified in such information. In the event any such information changes after it is provided to Reagents, you agree to update your Profile online the next time you access the Site. You agree (a) to maintain the confidentiality of your username and password, and (b) that you are fully responsible for any and all activities that occur under your username. You will not misuse or share your username or password, misrepresent your identity or your affiliation with an entity, impersonate any person or entity, or misstate the origin of any materials you are exposed to through this Web site. You further agree to (i) immediately notify Reagents of any unauthorized use of your password or account or any other breach of security, and (ii) ensure that you exit from your account at the end of each session. Without limiting any other provisions of these Terms, Reagents will not be liable for any loss or damage arising from your failure to comply, and you agree that Reagents will not be liable for any loss that you may incur as a result of someone else using your username, either with or without your knowledge. You agree not to use anyone else's username at any time. If you violate your obligations under this section, you may be subject to prosecution.

Communications

Other than personally identifiable information, all communications from you to the Site, in the form of comments, questions, or general feedback, will be considered non-confidential and non-proprietary and may be used by Reagents and its affiliates for any purpose without compensation to you. Purchase Terms

By placing an order you are offering to purchase a product subject to our Terms of Sale (which can be read here) and are hereby incorporated herein) and the terms below.

In order to contract with Reagents you must be over 18 years of age and possess a valid account with terms, or a credit/debit card issued by a bank acceptable to us. Reagents retains the right to refuse any request made by you. If your order is accepted we will inform you by email and we will confirm the identity of the party which you have contracted with. This will usually be Reagents or may in some cases be a third party. Where a contract is made with a third party Reagents is not acting as either agent or principal and the contract is made between yourself and that third party and will be subject to the terms of sale which they supply you. When placing an order you undertake that all details you provide to us are true and accurate, that you are an authorized user of the credit or debit card used to place your order and that there are sufficient funds to cover the cost of the goods. The cost of foreign products and services may fluctuate. All prices advertised are subject to such changes.

When you place an order, you will receive an acknowledgement e-mail confirming receipt of your order: this email will only be an acknowledgement and will not constitute acceptance of your order. A contract between us will not be formed until we send you confirmation by e-mail that the goods which you ordered have been dispatched to you. All accepted orders shall be exclusively subject to the Terms of Sale for those goods listed in the confirmation e-mail sent at the time of dispatch.

At Reagents’ sole discretion, it may require you to submit any disputes arising from the use of these Terms of Use or the Site, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying North Carolina law.
